Welcome to PlanKinetics. These Terms of Service ("Terms") govern your access to and use of our project management platform, website, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

1. Acceptance of Terms

By creating an account, selecting a subscription, or merely using the Services, you confirm that you have read, understood, and agreed to these Terms. If you are entering into these Terms on behalf of a company, organization, or another legal entity, you represent that you have the authority to bind such entity and its affiliates to these Terms. If you do not agree to these Terms, you may not use the Services.

2. Description of Service

PlanKinetics provides a suite of online tools designed for task management, team collaboration, and project organization. The Services may be updated frequently, meaning the form and nature of the Services provided may change from time to time without prior notice to you. We may stop (permanently or temporarily) providing the Services (or any features within the Services) to you or to users generally.

3. User Accounts and Responsibilities

• Registration: To use certain features, you must register for an account. You agree to provide accurate, current, and complete information during the registration process.
• Security: You are responsible for safeguarding the password that you use to access the Services. You agree not to disclose your password to any third party and accept responsibility for any activities or actions under your account.
• Acceptable Use: You agree NOT to use the Services to:
  • Violate any local, state, national, or international law.
  • Upload, post, or transmit any material that is illegal, defamatory, harassing, or infringes on the intellectual property rights of others.
  • Distribute viruses, malware, or any other harmful code.

4. Subscriptions, Renewals, and Billing

PlanKinetics offers tiered subscription plans (e.g., Starter, Pro, Business).

• Billing: By providing a credit card or other payment method, you authorize us to charge you the subscription fees according to the billing cycle you have selected (monthly or annually).
• Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless you cancel auto-renewal before the renewal date.
• Cancellations and Refunds: You may cancel your subscription at any time. Upon cancellation, you will retain access to the paid features until the end of your current billing cycle. Payments are generally non-refundable unless required by applicable law.

5. User Content and Intellectual Property

A. Your Content

You retain ownership of any data, information, or material you create, upload, or store within the Services ("User Content"). You grant us a worldwide, royalty-free, limited license to host, copy, process, transmit, and display your User Content strictly for the purpose of operating and providing the Services to you and your authorized team members.

B. Our Intellectual Property

The Services, including their original code, designs, features, typography, and functionality, are owned by PlanKinetics and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PLANKINETICS, ITS DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (III) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

7. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will immediately cease. You may also stop using the Services and terminate your account at any time through your dashboard settings.
